6. In order to be deemed a Valid Participant and be eligible to win a prize in the Redspace Promotion, viewers will be required to watch the advertised REDSPACE movies on MOVIE ONE or MOVIE TWO during the promotional period. Foxtel Digital subscribers and Austar Digital subscribers are able to enter the competition simply by submitting their details via pressing the red button on their remote control. They can also enter the competition by answering 5 multiple choice competition questions in the Redspace Quiz as advertised on MOVIE ONE and MOVIE TWO or online at www.movieone.com.au. The Interactive Quizzes will also be accessible via the Red Button on the viewer’s remote control (FOXTEL Digital subscribers who have access) and via the www.movieone.com.au website (all subscribers). The quiz questions and red button entry mechanic will only be available via the Red Button during and after the screenings of the advertised movies for a period of 4 hours. The quiz questions will be available on www.movieone.com.au throughout the promotional period. In order to gain entry into the competition and be deemed a valid entrant, viewers must obtain a score of at least 3 out of 5 in the quiz. If a FOXTEL Digital subscriber has difficulty in submitting their entry via the Red Button, then an SMS number will be provided for them to send in their details Entrants will be required to supply all their details as instructed which could include their full name, address, postcode, phone number and/or mobile number, subscription platform and advertised code word in order for their entry to be valid

13. A Maximum of five (5) web entries per person per day will be permitted. There is no limit for the number of SMS or Red Button entries permitted each day, per person.

Entry is open to all permanent residents of Australia, who (i) have the MOVIE NETWORK Channels as part of their subscription television package on FOXTEL, AUSTAR, OPTUS Television, Neighborhood Cable, Telstra, Telstra Countrywide (a “Subscriber”); (ii) are a member of a subscription household and (ii) are not (a) employees of, or contractors to, the Promoter or its related companies, or the Promoter’s distributors, external auditors and subscription television service providers FOXTEL, AUSTAR, OPTUS Television, SELECTV, Neighborhood Cable, Telstra, Telstra Countrywide, including belong and their associated agencies and companies or (b) members of the immediate family of such employees and contractors. Terms and Conditions

1. Information on how to enter forms part of the terms and conditions of entry. As a condition of participation and registration, the participant (‘Participant’) accepts these Terms and Conditions and any rules, policies or procedures that may be adopted by the Promoter from time to time.

2. The Promoter is The MOVIE NETWORK Channels Pty Ltd, Level 6, 39 Chandos Street, St Leonards NSW 2065, ABN 72 089 135 740.

3. The Promotion commences 06/07/2008 at 00:01 (AEST) and closes on 29/12/2008 at 12:00 (AEST) (the “Promotional Period”). However, the entry period for each monthly competition will be as follows:

5. For the purpose of this promotion, a Participant is considered a person who actively participates in the promotion by physically submitting an entry or entries in the promotion using one of the entry mechanics listed in clause 6.

6. In order to be deemed a Valid Participant and be eligible to win a prize in the Redspace Promotion, viewers will be required to watch the advertised REDSPACE movies on MOVIE ONE or MOVIE TWO during the promotional period. 7. If a person is unable to submit their own entry or entries in the promotion due to physical disability or technical difficulties, they must notify the promoter in writing addressed to December redspace Promotion, PO Box 107, St Leonards, NSW 2065 prior to the draw date and nominate another individual to submit the entries on their behalf. If notification is not received, and it is determined that an entrant did not submit their own entries in the competition their entries may be deemed invalid and ineligible.

8. Incomplete entries will be deemed invalid and ineligible.

9. If the Promoter becomes aware of any Participant who supplies false or misleading information for registration or entry in the Promotion including under:

- an address which is not their permanent residence;
- an identity which is not their correct legal identity;
- a false claim that they are a member of a Subscriber household;
- multiple, differing email addresses

the entries awarded to that Participant will be cancelled and if they have received prizes, they will be recoverable by the Promoter on demand. The Promoter reserves the right to ask for any supporting documentation or evidence in order to determine the above. The Participant will not have any claim against the Promoter.

10. Maximum SMS and red button entry cost is $0.55 inc GST per SMS or red button entry sent, regardless of whether or not the entry complies with the terms and conditions of the Promotion. SMS entries via the internet or computer generation are invalid and will not be accepted or included in the prize draw. The Promoter accepts no responsibility for any SMS messages or red button entries not received by the Promoter or delays in the delivery of the SMS message or red button entry due to technical disruptions, network congestion or for any other reason.

11. Each valid entry entitles the Participant to one (1) entry into the prize draw.

12. Any subscriber household that has been awarded a major prize from any MOVIE NETWORK CHANNELS Promotion in the last 12 months is ineligible to win a prize in this competition. Any person who is a member of such subscriber household at the time of this promotion is ineligible to win. A major prize is considered to be any prize with a total value of over $100.

13. A Maximum of five (5) web entries per person per day will be permitted. There is no limit for the number of SMS or Red Button entries permitted each day, per person.

14. All valid entries will be included in the draw which will take place at belong, Level 8, 155 George Street Sydney NSW 2000 on the dates set out in Clause 3.

15. Judges’ decision is final and no correspondence will be entered into. Prizes cannot be transferred for other goods and services. Prizes cannot be redeemed for cash.

16. If any winner is under the age of 18 years the prize will be awarded to their parent or legal guardian, at the discretion of the Promoter.

17. The Promoter reserves the right to request the winner to provide proof of identity, proof of valid subscription to their service provider at their residential address, proof of residency at the nominated prize delivery address, and/or proof of entry validity. Proof of identification, residency, subscription, and entry considered suitable for verification is at the discretion of the Promoter. Prizes will only be awarded to the account holder of the entry mechanism used to submit their entry (i.e. mobile phone account holder). The winner will therefore be, in each case, the account holder.

18. Prize winners are advised that Tax implications may arise from their prize winnings and they should seek independent financial advice prior to the acceptance of the prize.

19. The Promoter reserves the right to refuse to allow a winner to take part in any or all aspects of the prize, if the Promoter determines, in their absolute discretion, that a winner is not in the mental or physical condition necessary to be able to safely participate in the prize. It is a condition of accepting the prize that the winner may be required to sign a legal release in a form determined by the Promoter in its absolute discretion.

20. If for any reason this Promotion is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures or any other causes beyond the control of the Promoter, which corrupt or affect the administration security, fairness or integrity or proper conduct of this Promotion, the Promoter reserves the right in its sole discretion to disqualify any individual who tampers with the entry process, take any action that may be available, and to cancel, terminate, modify or suspend the competition, subject to any direction given under the Lottery and Gaming Regulation 1993 (SA), and state permit regulation.

21. The Promoter is not liable for the cancellation of all or any part of the prizes (‘Prizes’), the Promoter reserves the right to change the Prizes at any time if the Prize or a component of the Prize becomes unavailable. The Promoter is not liable for the repair or replacement of Prizes, or components of Prizes which are defective, except for liability which cannot be excluded by law. In the case of South Australia, this condition is subject to the relevant South Australian legislation.

22. The major winner will be notified by mail, and will be published in the Public Notices section of The Australian newspaper on 7 August 2008 (July winner), 8 September 2008 (August winner), 7 October 2008 (September winner), 6 November 2008 (October winner), 8 December 2008 (November winner) and 5 January 2009 (December winner).

23. Prize values are the recommended retail value as provided by the supplier and are correct at time of printing. All prize values are in Australian dollars.

24. The Promoter shall not be liable for any loss or damage whatsoever which is suffered (including but not limited to direct or consequential loss) or for any personal injury suffered or sustained in connection with any prize/s, except for any liability which cannot be excluded by law.

25. The Promoter and its agencies and companies associated with this Promotion will take no responsibility for prizes damaged in transit. Once prizes have left the Promoter's premises, the Promoter will not be responsible for any delay in delivery, or failure of safe delivery of prizes.

26. Should a Participant’s contact details change or their pay television provider changes during the Promotional period, it is the Participant’s responsibility to notify the Promoter.

27. By accepting the Terms and Conditions and entering the Promotion, the Participant consents to the Promoter retaining and using the Participant’s Information for the purposes of promoting and marketing the Promoter. All winning entries will be entered into a database and the Promoter may use the winners' names, addresses and telephone numbers for future promotional, marketing and publicity purposes in any media worldwide without notice and without any fee being paid unless otherwise advised by the entrant.

28. There will be 1 prize awarded for each monthly competition. The prize will be awarded to the first valid participant’s entry drawn. The winner will receive $5,000 cash awarded as a cheque. Each monthly prize is valued at $5,000.

29. The total prize pool is valued at $30,000.

30. The prize is not transferable or redeemable for cash. The Promoter is not liable for the cancellation of all or any part of the prize (‘Prize’), the Promoter reserves the right to change the Prize at any time if the Prize or a component of the Prize becomes unavailable. 32. Additional costs and all other ancillary costs are the responsibility of the winner. The prize comes with the components list above only.

33. In the event that for any reason whatsoever a winner does not take an element of the prize at the time stipulated by the promoter then that element of the prize will be forfeited by the winner and cash will not be awarded in lieu of that element of the prize.

34. The Promoter reserves the right to request the winner to provide proof of identity, proof of valid subscription to their service provider at their residential address, proof of residency at the nominated prize delivery address, and/or proof of entry validity. 35. Neither the Movie Network or their associated companies is responsible, to the extent permitted by law, for acts of god, acts of terrorism or war (declared or undeclared) or other events beyond the Promoter's control which prevent awarding of the prize in accordance with the prize description, or subject to any applicable laws, to cancel, terminate, modify or suspend the promotion.

36. The Promoter shall conduct such further draws as may be necessary at the same place as the original draw at 11am (AEST) on 12 April 2009 to distribute any prizes should they remain unclaimed by that date subject to State Regulation and any written directions given under Reg. 37 of the Lotteries and Gaming Act 1993 (SA). The major winner will be notified by phone mail and published in the public notices section of The Australian newspaper on 19 April 2009.

37. The promoter reserves the right to announce or publish the winner’s name and/or photograph for publicity purposes.

38. The Promoter shall not be liable for any loss or damage suffered (including but not limited to indirect or consequential loss) or for any personal injury suffered or sustained as a result of accepting the prize except for liability that cannot be excluded by law. The winner and their guests must sign a waiver accepting full responsibility for any loss or injury before taking part in any of the activities associated with the prize.

39. In the case of the intervention of any outside agent or event which naturally changes the result or prevents or hinders it's determination, including but not limited to vandalism, power failures, tempests, natural disasters, acts of God, civil unrest, strikes, war, terrorism, state of emergency or disaster, the Promoter reserves the right (subject to any written directions under State Regulation) to cancel, terminate, modify or suspend the promotion.
